Terms of Use – Praxio AI – Tax Assistant

These Terms of Use (“Terms”) govern your access to and use of the Praxio AI – Tax Assistant (“Software” or “Service”), provided by Praxio AI Pty Ltd (ACN 686 769 826), a company incorporated in Victoria, Australia (“we”, “us”, or “our”). By accessing or using the Software, you agree to be bound by these Terms.
1. Intended Use and Eligibility
The Software is provided for use by qualified public practice accountants and tax professionals in Australia only (“Users”). It is intended solely for business use in the course of providing professional accounting or taxation services and must not be used by unqualified persons or for personal taxation matters.
2. Product Status
This is the full commercial release of the Software. While we continue to improve its features, the Service is a production-ready tool and not an experimental release.
3. Accuracy Disclaimer
The Software may generate responses or content that is incorrect, incomplete, outdated, or misleading. While efforts are made to ensure the quality of outputs, we do not warrant or guarantee the accuracy, completeness, or fitness for purpose of any information produced by the Software.
You are solely responsible for verifying the correctness and appropriateness of any outputs before relying on them or providing them to clients.
4. Professional Responsibilities
It remains your sole responsibility to:
Comply with all applicable laws, regulations and professional standards, including but not limited to those issued by the Tax Practitioners Board (including the Code of Professional Conduct), CPA Australia, CA ANZ, or other relevant governing bodies;
Ensure that any advice or reports provided to clients meet your professional obligations, regardless of Software outputs.
5. User Accounts and Access
To use the Software, you must register for an account. You agree to provide accurate, complete, and current information and to keep your login credentials secure.
You are responsible for all activity that occurs under your account and must notify us promptly of any unauthorised use or suspected security breach.
6. Fees, Free Trial and Subscriptions
Upon signing up, Users will receive a 7-day free trial. After the trial ends, continued access requires payment of a subscription fee.
Subscription fees are inclusive of GST and may be charged on a monthly or annual basis per user per firm;
Pricing is published on our website or as otherwise notified after the free trial period;
You may select your preferred billing period (monthly or annually) at the time of subscribing;
Payment must be made using an approved payment method. Access will be suspended if payment fails.
Cancellation Policy:
You may cancel your subscription at any time via your account settings. However, all payments are non-refundable, including in cases where you cancel before the end of a paid billing period (e.g. no pro-rata refund for unused time in annual plans).
7. Confidentiality and Data Responsibility
User Information: We collect and retain user information provided during sign-up and use of the Software, which may be stored for up to seven (7) years for operational, audit, or compliance purposes.
Client Data: If you input any personal or client data into the Software, you do so at your own risk. You must have all necessary consents and ensure compliance with the Privacy Act 1988 (Cth) and other applicable data protection laws. We recommend avoiding identifiable client information where possible.
Data Deletion: All client data associated with your account will be permanently deleted upon account closure or deletion, subject to applicable legal requirements.
8. Prohibited Use
You agree not to use the Software or Services to:
Violate any law or the rights of others;
Copy, sell, sublicense, lease, assign, distribute, or otherwise commercially exploit the Software or its outputs;
Modify, reverse engineer, decompile, or attempt to derive the source code of any part of the Software;
Scrape, crawl, or programmatically extract or access any part of the Software or its outputs;
Present outputs falsely as human-generated or mislead others as to the origin of the content;
Circumvent, bypass, disable, or interfere with any security or usage restrictions;
Use outputs, interactions, or underlying architecture to train or contribute to the development of any competing AI models or systems.
9. Access and Availability
We may offer access via the web, API, or other methods. While we strive to ensure continuous availability, we do not guarantee uninterrupted or error-free access and may suspend the service for maintenance or updates.
We reserve the right to revoke or restrict access for any user at our discretion, particularly in cases of suspected misuse or breach of these Terms.
10. Support
Support is available via email at support@praxio-ai.com.au. While we aim to respond within a reasonable time, no guaranteed service levels are offered at this stage.
11. Feedback
You may choose to provide feedback on the Software. You grant us a perpetual, royalty-free, worldwide licence to use such feedback for development, marketing, or any other lawful purpose.
12. Software and Updates
The Software may automatically update from time to time. It may include open-source components that are subject to separate licences. Your use of any such components is governed by the terms of those respective licences.
13. Third-party Components
The Software may incorporate or rely on third-party software, APIs, or services. These are governed by their own terms and policies. We make no warranties regarding third-party components.
14. Intellectual Property
All intellectual property rights in the Software, its content, and underlying technologies remain the exclusive property of Praxio AI Pty Ltd. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Software for your internal professional purposes only.
15. Limitation of Liability
To the maximum extent permitted by law:
The Software is provided "as is", without warranties of any kind;
We disclaim liability for loss, damage, or harm arising from reliance on or use of the Software;
We are not liable for indirect, incidental, or consequential loss (including loss of profit, revenue, data, or goodwill).
You agree to indemnify us against any claims arising from your use of the Software or breach of these Terms.
16. Termination
We may suspend or terminate your access at any time for breach of these Terms or for misuse of the Software. Upon termination or account deletion, all associated client data will be permanently deleted, subject to applicable law.
17. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
